Video Contest Terms & Rules

Below are the official rules for the Chatki Viral Video Contest (the “Contest”). Please visit [https://chatki.com/contest/] for more details. This Contest is sponsored by CHATKI (the “Sponsor”)

Video Requirements:

IMPORTANT NOTE: Failure to follow the exact Video Requirements may result in disqualification.

All videos must have Chatki (“Website”) as the subject/idea/theme of all submitted videos. This may include the Website itself or use of the website. Any videos which are deemed to not be related to the Website in any way may be disqualified. Artistic interpretation is encouraged, but the end user must be able to interpret the video as being related to the Website in some way.

Videos may be produced in any style. The objective is to obtain as many views as possible and for the video to “go viral.”

There is no minimum or maximum length requirement.

Video Guidelines:

The contestant is 100% responsible for all production costs of their video.

The contestant is 100% responsible for the creation of a video that does not infringe on any copyright, right of publicity or privacy, or any other intellectual property rights or personal rights of any individual, and does not break any local, state, or federal laws, including but not limited to communication laws. The Sponsor and its affiliates, parents and related entities (the “Sponsor Parties”) will not be held responsible for any laws broken, violations, etc. and Contestant will fully indemnify and hold harmless the Sponsor Parties.

All submissions will become the property of Sponsor. Contestant waives all rights, including any moral rights, in and to the submission.

Any submission deemed inappropriate or unsuitable, in Sponsor’s sole discretion, will be disqualified.

The submission must be the original work of the Contestant.

The submission must be uploaded in accordance with the specifications set forth in the contest rules as displayed on the website [https://chatki.com/contest/].

Any submission or portion thereof that is, in Sponsor’s sole discretion, obscene, profane, lewd, defamatory, contains any unauthorized third-party materials or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand other than the Website or other proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and may be disqualified.

Any clothing worn in the submitted video should not contain any visible logos, drawings, cartoons, phrases, trademarks or other third- party intellectual property. No entry shall contain any content other than as described herein, including but not limited to a performance that has been broadcast or streamed, published or televised on television or as part of a recording of a motion picture film or television program.

Submitted videos may only include representations of celebrities, athletes, musicians, or other public figures if such material is portrayed as a parody. The Sponsor shall have sole discretion to determine if any entry shall be considered a parody and may disqualify any entry which it deems to be infringing (or potentially infringing).

Submitted videos may not under any circumstances include any anti-social subject matter, or reference any political or religious groups, or include any commercial solicitation or promotional materials or address, phone number, or URL address unless otherwise approved herein

Any entry not in compliance with the Contest Rules or which does not meet the Video Requirements or Video Guidelines will be disqualified.

If, in Sponsor’s sole discretion, the entry (or any portion thereof) appears to have resulted in any injury or bodily harm, it will be disqualified. Entries must be in keeping with Sponsor’s image and may not be offensive, as determined by Sponsor in its sole discretion, or entry will be disqualified from the Contest.

You are personally responsible for your behavior while creating this video and agree to indemnify all Sponsor Parties, including the Sponsor’s, affiliates, officers, directors, employees and agents harmless from and against any loss, damage, liability, cost or expense of any kind (including attorney fees and costs) that may be incurred in connection with a third party claim or a claim by you that may occur in the creation and submission of your video. Sponsor Parties shall have no liability to Contestant for any reason and disclaims all liability of any kind and all warranties of any kind.

Submission Guidelines/How to Enter the Contest:

IMPORTANT NOTE: Failure to follow the exact Submission Guidelines may result in disqualification.

All submissions must be posted on the Contestant’s own YouTube account and must allow embedding. The account should be set to allow anyone to view the video.

Title: The word: “Chatki” must appear at the beginning of the YouTube video title. Example: “Chatki: Stay Alive, Zombies love Chatki”

Description: A description of the video in the Contestant’s own words. There is no limit on the length of the description.

Tags: The following YouTube video tags are required: Chatki

Privacy: All contest entries should be placed on YouTube using the Public privacy setting.

 

A link to the YouTube page where the video resides should be submitted online at https://chatki.com/contest/. In the body of the submission the applicant will put the following:

  1. Video Title
  2. Contestant’s Name
  3. Contestant’s Email Address
  4. Contact Phone Number
  5. A link to the video on YouTube

All contest entries must be received no later than January 31st  2019, at 11:59pm Pacific Time. Any entries received after the deadline will not be accepted.

Deadline for submission and final results will be extended by ninety (90) days if a minimum of one hundred (100) entries is not reached within 15 days of current submission deadline.

Ten contestants will receive a prize as set forth above. In order to claim any prize, the winning contestants will be required to provide a physical copy of the video as well as sign a waiver and release. Failure to submit the required physical copy or sign the waiver and release will be grounds for disqualification. Sponsor reserves the right, in its sole discretion, to disqualify any contestant if it has reason to believe there has been any fraud in obtaining the views (results) or if the contestant has violated any of the rules or guidelines.

General Rules:

By participating in the Contest, contestants agree to be bound by the Official Rules and the decisions of the Sponsor. The Sponsor shall act as the Judge and the Judge’s decisions are final on all matters relating to the Contest. If you do not agree to any term or condition in this document or any other rules or regulations that may apply, DO NOT participate in this contest or submit a video. By submitting a video you agree to the Official Rules and Guidelines.

By posting a video, you guarantee, represent and warrant that:

You have the legal right to post Content and it does not violate any law.

That you are over 18 at the time of the submission. if you are under 18 DO NOT participate as your entry will be disqualified.

You have the consent, release, and/or permission of each and every identifiable individual person in your video submission to use the name or likeness of each and every identifiable person in the content.

That any personal information you provide may be provided to third parties and by participating in this contest you give the Sponsor permission to use that information in the promotion of this contest and in any way that advances the purposes of this contest.

All Entries will be declared made by the authorized account holder of the e-mail address used to submit the video at the time of Entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

The Sponsor is not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Contest or by any human error which may occur in the Contest.

Sponsor reserves the right to cancel the Contest if any aspect of the Contest becomes technically corrupted. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Entry process or the operation of the Contest, Contest Website or any You Tube pages which contain contest videos; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The Sponsor and its agencies and each party’s respective affiliates, officers, directors, agents, and employees will have no liability or responsibility for any claim arising in connection with participation in the Contest or the awarding of prizes. Winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in the Contest or use or redemption of prize.

Release:

By submitting an Entry, you hereby grant the Sponsor, its affiliates, subsidiaries, assigns, licensees, and legal representatives the irrevocable, perpetual, royalty-free, worldwide right to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Entry (as such may be edited and modified by the Sponsor in its discretion) for editorial, commercial, promotional and all other purposes (including posting on any websites). In addition, you hereby transfer and assign to the Sponsor all rights, titles, and interests that you may be deemed to have in any reproduction, product, or derivative work using or incorporating the Entry.

You represent and warrant that: (i) the Entry does not and shall not infringe on any copyright or trademark or any other third-party right, nor violate any applicable law or regulation, (ii) you have the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright, trademark and other related rights to the Entry, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity. You waive any right to inspect or approve uses of the Entry or to be compensated for any such uses. You hereby release Sponsor, its affiliates, officers, directors, agents, co-branders or other partners, and any of its employees (collectively, the “Sponsor Indemnitees”), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys’ fees) and liabilities (including settlements), brought or asserted by any third party against any of the Contest Indemnitees due to or arising out of your participation in the Contest, or use of your name, likeness, Entry and/or voice, or any other rights granted to Sponsor, including any claims for including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation. You further agree to release and indemnify and hold harmless Contest Indemnitees from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Contest Indemnitees infringes on your rights as contained in the Entry submission.

 

You hereby represent and warrant you have read these Official Rules, are fully familiar with its contents and agree to be bound by them. The Contest and the Official Rules shall be exclusively governed by and construed in accordance with the laws of the state of Wyoming.

 

Any dispute arising out of or relating to this Agreement, including the alleged breach, termination, validity, interpretation and performance thereof (“Dispute”) shall be resolved with the following procedures:

 

A. Negotiation

Upon written notice of any Dispute, the parties shall attempt to resolve it promptly by negotiation between executives who have authority to settle the Dispute and this process should be completed within 30 days (the “Negotiation”).

 

B. Mediation

If the dispute has not been resolved by negotiation in accordance with paragraph A, then the parties shall proceed to mediation unless the parties at the time of the dispute agree to a different timeframe. A “Notice of Mediation” shall be served, signifying that the Negotiation was not successful and to commence the mediation process. The parties shall agree on a mediator; however, if they cannot agree within 14 days then [then a local mediation service provider] shall appoint a mediator. The mediation session shall be held within 45 days of the retention of the mediator, and last for at least one full mediation day, before any party has the option to withdraw from the process. The parties may agree to continue the mediation process beyond one day, until there is a settlement agreement, or one party [or the mediator] states that there is no reason to continue because of an impasse that cannot be overcome and sends a “notice of termination of mediation.” All reasonable efforts will be made to complete the mediation within 30 days of the first mediation session. During the course of the mediation, no party can assert the failure to fully comply with paragraph A, as a reason not to proceed or to delay the mediation. The service of the Notice of Mediation shall stay the running of any applicable statute of limitations regarding the Dispute until 30 days after the parties agree that the mediation is concluded or the mediator issues a Notice of Impasse. Each side shall bear an equal share of the mediation costs unless the parties agree otherwise. All communications, both written and oral, during Phases A and B are confidential and shall be treated as settlement negotiations for purposes of applicable rules of evidence; however, documents generated in the ordinary course of business prior to the Dispute, that would otherwise be discoverable, do not become confidential simply because they are used in the Negotiation and/or Mediation process. The process shall be confidential based on terms acceptable to the mediator and/or mediation service provider.

 

C. Arbitration

Any Dispute not resolved through negotiation or mediation in accordance with paragraphs A and B shall be resolved by final and binding arbitration in accordance with the rules of the State of Wyoming. The arbitration will be held in Wyoming using one arbitrator, unless the Dispute exceeds one thousand dollars (USA) in which case there shall be three neutral arbitrators, as a panel. The arbitrators may award costs and/or attorneys’ fees to the prevailing party. The parties understand that arbitration is final and binding and that they are waiving their rights to other resolution processes (such as court action or administrative proceeding).

Judging and Final Prizes:

Contestants will submit videos to you YouTube and will be chosen as winners based on the views they get through personal promotion. The 10 users with the most views will win the contest and will be awarded a prize based on which winning rank (1-10) in views they received.

The Grand Prize Winner and Second and Third Place winners will be notified by phone or email and will also be announced on the Chatki website. The remaining prize winners will not be announced but will be notified by phone or email.

Note:

The use of robotic or automatic devices for getting Youtube views is prohibited and Sponsor reserves the right to nullify all such votes and to disqualify that entry from the contest and the contest submission in question will NOT be eligible for a prize.
